Walmley Residents Association

(founded 1928).

Constitution

(revised April 2025)

 

  1. Name:-    Walmley Residents Association.

  2. Objects:- To promote the wellbeing of the residents of Walmley, to provide facilities for discussion concerning the services and amenities of the district and other topics of educational and local interests. To remain non-political.

  3. Membership & subscriptions.

a)  All persons over 18 years of age permanently residing and with a postal address in Walmley, as defined by the committee map appended, shall be eligible for membership of the Association.

b) The amount of annual subscription for such membership shall be determined from time to time by the committee subject to the approval of 

members. From April 2015 this shall be £5 per household.

c) The subscription once paid shall be irrecoverable.

d) The liability of a member for the debts of the Association shall be limited to an amount equal to one year’s subscription.                                                                              

e) There shall be no life membership.

f) The committee shall have the power to request a special donation from the members if additional finance is required at any particular time for a special purpose.

   4.  Officers & Committee.

a) The Officers of the Association shall consist of members holding the honorary offices of:-

                                                          Chair

                                                          Vice Chair

                                                          Secretary

                                                          Treasurer.

 

b) The committee shall consist of no more than 10 members including the 4 Officers.

 

c)  In addition, the committee shall have power to co-opt any person that it might consider could provide any special knowledge or skill, whether resident within Walmley or not and such person shall be non-voting.    

 

d)  All business pursuant to the Objects of the Association shall be conducted by and be in the hands of the Officers and committee who shall report at each Annual General Meeting of the activities of the Association during their year of office.

 

e)  All Officers and committee shall be elected to office at each Annual General Meeting of the Association and shall hold office until resignation or until the ensuing Annual General Meeting, whichever shall be sooner.

 

f)  Members wishing to be accepted onto the committee shall have been participating members for at least the preceding year. Anyone that is a political representative cannot hold office or become a committee member.

g) The committee shall make such rules for the conduct of it's business as it deems fit.

5. Meetings

a) An Annual General Meeting shall be held in April each year for the purpose of receiving the Chair's report, Treasurer's balance sheet, to elect officers and committee for the ensuing year, to vary or amend the rules or for general purposes.

b) Fourteen days notice shall be given for an Annual General Meeting.

c) There must be 15 members present to form a quorum at each Annual General Meeting.

d) Motions, which must be supported by 5 or more members, shall only go to the vote at a meeting after twenty-eight clear days advanced notification has been given to enable information to be provided to the membership.

e) All motions presented to the meeting shall be determined by a majority vote on a show of hands, the Chair having the casting vote.

f) Committee meetings shall be convened when considered necessary with a minimum of four per year. The quorum for each meeting is 4 members.

 6.  Finance.

a)  The funds of the Association shall be administered by the committee who shall authorize the Treasurer to pay such accounts as are valid and are brought before it at each meeting of the committee.

b)  The Treasurer shall keep such records and accounts as are reasonable in the circumstances and shall account to the committee at intervals to be determined by the committee and shall at each Annual General Meeting submit an audited statement of income and expenditure of the Association for the past year, together with a balance sheet.

 

c)  The financial year of the Association shall end on March 31.

 

d)  The committee shall appoint independent persons each year to audit the accounts of the Association before submission to the Annual General Meeting.

 

  7. Rules. 

a)  A copy of the constitution will be supplied to a member upon their request.

 

b)  Amendments or alteration or additions to this constitution shall be decided at any Annual General Meeting provided notice in writing setting forth the proposed amendment, alteration or addition be given to the Secretary at least twenty one clear days before the date of the committee meeting preceding the Annual General Meeting.

 

c)  If any dispute arises into the interpretation of these Rules, a Special Committee meeting shall be convened to give a ruling and the decision reached at that meeting will be final.

 

  8. Dissolution.

a)  The Association shall be dissolved by a three-fourths majority of the members present and voting at a meeting specifically called for the purpose of considering such a motion.

 

b)  If a motion to dissolve be carried, any deficiency in the funds of the Association at that time shall be contributed by the members as provided in Rule 3d) above, and any surplus in funds shall be given to a charity of the committee’s choice.
